Terms of service

These terms govern your use of the DirectTrade app for iPhone and Android and the DirectTrade website. How we handle personal data is described in our privacy policy.
1. Who we are
DirectTrade is provided by KD Software sp. z o.o., ul. Aleksandra Fredry 2/7, 30-605 Kraków, Poland. Registered in the National Court Register (KRS) under number 0001261286, NIP 6793373732. Contact: support@directtrade.app. In these terms, "we" and "us" mean KD Software sp. z o.o., and "DirectTrade" or "the app" means the software.
2. Acceptance and eligibility
By installing or using DirectTrade you agree to these terms. If you do not agree, do not use the app.
You may use DirectTrade only if you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not in a jurisdiction where using the app or trading crypto-assets is unlawful.
3. What DirectTrade is
DirectTrade is software: a trading terminal that shows you market data from crypto exchanges and lets you place orders on exchange accounts that you hold. The exchanges the app supports are listed in the app and may change over time.
DirectTrade is not a broker, an exchange, a custodian, a wallet or a crypto-asset service provider. We execute nothing on our own account, never hold, receive or transfer your funds, and are not a counterparty to any transaction. Every order you place through the app is placed on the exchange you chose, in your name, and is executed by that exchange under its own terms and fees. Your funds stay in your own exchange accounts at all times.
4. Your account
When you install the app, it creates a guest account for you without any sign-up. You can optionally sign in with Apple (on iPhone), Google, or an email address and password, which links your guest account to that sign-in and keeps your watchlists, price alerts, chart configurations and drawings in step across your devices.
You are responsible for your sign-in credentials and for everything done under your account. Tell us at support@directtrade.app if you believe your account has been used without your permission.
5. Your exchange accounts and API keys
To see balances or place orders, you connect an exchange account by entering an API key that you created at that exchange. Your relationship with each exchange is governed by that exchange's own terms and privacy policy. We have no control over the exchanges: their fees, their availability, how they handle your orders, or whether they suspend or close your account.
You are responsible for:
- your exchange accounts, including any verification the exchange requires and any fees it charges;
- the permissions you grant to each API key. Grant no withdrawal permission, and only the permissions needed to read balances and place spot orders;
- keeping your device secure. API keys are stored only on your device and are never sent to DirectTrade, so anyone with access to your unlocked device may be able to trade on your connected exchange accounts;
- revoking an API key at the exchange if you lose your device or stop using it with DirectTrade.
6. Market data and order status
Prices, candles, order books, balances, orders and fills are supplied by the exchanges and shown as received. They may be delayed, incomplete, interrupted or incorrect. We do not verify this data and do not warrant that it is accurate, complete or timely. Confirm the status of an order and your balances with the exchange itself before acting on them.
7. No advice
Nothing in DirectTrade is investment, financial, legal or tax advice. Charts, indicators, watchlists, price alerts and anything else the app displays are tools and information only; none of it is a recommendation to buy, sell or hold any crypto-asset, or to use any particular exchange. Every trading decision is yours alone.
8. Price alerts and notifications
Price alerts are provided on a best-effort basis. We do not guarantee that an alert will trigger, that a notification will be delivered, or that it will arrive at any particular time. Delivery depends on the exchange's data, on Apple's and Google's notification services, on your device settings and on your network connection. Do not rely on alerts or notifications for trading decisions or for managing risk.
9. Risk warning
Trading crypto-assets carries a high level of risk. Prices are extremely volatile. You may lose the entire amount you trade. Exchanges may fail, be hacked, suspend trading or withdrawals, or become insolvent. Using DirectTrade gives you no regulatory protection, deposit guarantee or investor compensation, and we are not regulated as a financial or crypto-asset service provider. Only trade with money you can afford to lose.
10. Acceptable use
You agree not to:
- use DirectTrade for any unlawful purpose, including market manipulation, money laundering or evading sanctions;
- use the app in breach of the terms of an exchange you have connected;
- reverse engineer, decompile or disassemble the app, except where the law expressly allows it;
- interfere with, overload or disrupt the app, our systems or the exchanges' services, or attempt to access them without authorisation;
- collect data from the app or our website by automated means, or resell or redistribute the service.
11. Intellectual property and licence
DirectTrade, including its design, code, graphics and name, is owned by us or our licensors and protected by copyright, trademark and other laws. We grant you a personal, limited, non-exclusive, non-transferable and revocable licence to install and use the app on devices you own or control, in accordance with these terms and the rules of the app store you obtained it from. We keep all rights not expressly granted.
12. Fees
DirectTrade is currently free to use. Fees charged by an exchange for trading, withdrawals or anything else are set by and payable to that exchange, not to us. If we introduce paid features, we will tell you in advance.
13. Availability, changes and discontinuation
We aim to keep DirectTrade available, but do not promise that it will be uninterrupted, error-free or available at any given time. We may change, suspend or withdraw a feature, add or remove a supported exchange, or discontinue the app, for a valid reason: a legal or security requirement, a change made by an exchange or a platform provider, or because the feature or the app is no longer viable to run. Where a change materially reduces what the app does, we will announce it in the app at least 14 days before it takes effect, unless a legal or security reason does not allow it.
14. Third-party services and links
The app relies on services that are not ours: the exchanges, Apple, Google and the app stores, and may link to third-party websites. We are not responsible for the content, availability, security or practices of any third-party service; your use of it is subject to that third party's terms.
15. Warranties and liability
DirectTrade is provided as it is and as available. To the extent permitted by law, we make no warranty that the app will meet your needs, that market data will be accurate, or that orders will be handled as you intended.
To the extent permitted by law, we are not liable for trading losses or lost profits; for losses caused by inaccurate, delayed or missing market data, order status, balances or alerts; for the acts or omissions of an exchange, Apple, Google or any other third party; for unauthorised use of your device, account or API keys; or for indirect or consequential loss. Where you are not a consumer and our liability cannot be excluded but can be limited, it is limited to the amount you paid us for the app in the 12 months before the event giving rise to the claim.
If you are a consumer, nothing in these terms limits any right you have under the mandatory consumer law of Poland, the European Union or your country of residence. Nothing in these terms excludes or limits our liability for intentional misconduct, or any liability that cannot be excluded or limited by law.
16. Termination and account deletion
You can stop using DirectTrade at any time. You can delete your account in the app under Settings → Account → Delete account, or by writing to support@directtrade.app. Deleting your account permanently removes the data kept in step across your devices. Uninstalling the app removes the data held on your device, including any API keys, although on iPhone a stored key may be restored if you reinstall; neither revokes an API key at the exchange, so revoke it there if you no longer need it.
We may suspend or terminate your access if you breach these terms, if the law requires it, or if we discontinue the service. We will tell you why and, where the breach can be remedied, give you a chance to fix it first, unless the law or the seriousness of the breach does not allow it. Sections 3, 6, 7, 9, 11, 15 and 17 continue to apply after termination.
17. Governing law and disputes
These terms are governed by the law of Poland. If you are a consumer living in the European Union, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim in the courts of that country.
Consumers may also use out-of-court dispute resolution bodies in their country. In Poland these include the municipal consumer ombudsmen and the Trade Inspection's consumer arbitration courts. We do not undertake in advance to use out-of-court dispute resolution; if we reject a complaint, we will tell you whether we agree to take part in such proceedings.
18. Complaints
If something is wrong with the app or you are unhappy with our service, write to support@directtrade.app or visit directtrade.app/support. Describe the problem and, if you can, the date, exchange and pair involved. We will reply within 14 days of receiving your complaint.
19. Changes to these terms
The current version of these terms is always available at directtrade.app/terms. We may update them. We will announce material changes in the app before they take effect, and where the law requires it we will ask for your agreement. If you do not agree with a change, stop using the app and delete your account.
